Board Roles and Responsibilities - Company Directors (CLG)

Though as people we are all very different, when we come together in a committee or board of directors, we must find a way to work effectively together. By defining the roles and responsibilities of a Board, we can make it easier for new people joining to better understand their roles and what they might expect of their board colleagues.
This course has been designed to support board induction training for new board members. It may also be of benefit to any existing board member who wish to refresh their knowledge of their board governance roles and responsibilities.
The course is divided into 6 component parts and takes approx. 1.5 hours to review. Participants should allow for additional time to review the templates and Board Directors Handbook which accompany the course. Topics are self-contained to facilitate micro-learning for the time conscious participant.
1. Responsibilities of a Non-Profit Board
In this opening lesson, we review the responsibilities that typically apply to a Board operating in the Non-Profit Sector in Ireland. This lesson includes an introduction to The Governance Code and its five overarching principles.
2. Roles of Honorary Board Officers
It is important that the workload around the board table be delegated and shared appropriately. In this lesson, we look at the typical duties assigned to the honorary roles of Chairperson, Board Secretary, Treasurer and PRO.
3. Introduction to the Companies Act 2014
The Companies Act 2014 commenced on June 1st 2015. In this lesson, we will look at the implications of the Act for existing Companies Limited by Guarantee and for those organisations who may wish to register as companies in the future.
4. The Company Constitution
In this lesson, we look at the importance of the company constitution in helping boards run their organisations in a legally compliant manner.
5. Board Processes and Procedures
In this lesson, we learn about a range of important board processes and procedures including agenda setting, minute taking, board member induction and sub-committee management.
6. Corporate Compliance
Aside from adhering to the legal responsibilities associated with the Companies Act 2014, boards must also ensure that their companies adhere to any other legal requirements applicable to their non-profits. In this lesson, we consider some of these additional legal requirements.
Upon successfully completing the course, participants may download free of charge a course Certificate of Completion.
The course costs €43.05 per participant for 60 days course access.
